Edgewise — Terms of Service

1. Acceptance of Terms

By accessing or using Edgewise ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Service Description

Edgewise provides conditional, historical probability estimates for financial markets. The Service:

• Computes and displays statistical probabilities based on historical market data
• Identifies market conditions and patterns that meet predefined statistical criteria
• Tracks and publishes the accuracy of its predictions over time

Edgewise does not provide:

• Financial advice, investment recommendations, or trading signals
• Guarantees of future market performance
• Price targets, entry/exit recommendations, or portfolio allocation advice

3. Not Financial Advice

All content, data, and analysis provided by Edgewise is for informational and educational purposes only. Nothing on the Service constitutes:

• A solicitation, recommendation, or endorsement to buy or sell any security, commodity, or financial instrument
• Investment, legal, tax, or accounting advice
• A guarantee of future results

Past calibration and historical accuracy do not guarantee future performance. Trading and investing involve substantial risk of loss. You should consult with a qualified financial advisor before making any trading decisions.

4. Eligibility & User Responsibilities

You must be at least 18 years old to use the Service. You agree to:

• Provide accurate information when registering (email address)
• Maintain the confidentiality of any account credentials
• Use the Service in compliance with all applicable laws and regulations
• Not use the Service for any illegal or unauthorized purpose
• Not attempt to reverse-engineer, scrape, or abuse the Service's data or infrastructure

5. Intellectual Property

All content, data, algorithms, software, and visual elements of Edgewise are the intellectual property of Edgewise Ltd. or its licensors. You may not:

• Reproduce, distribute, or create derivative works without written permission
• Use the Edgewise brand, logo, or assets without prior approval
• Resell or sublicense access to the Service

6. Fees, Billing & Cancellation

Edgewise may offer free and paid tiers. Paid tiers are subject to additional billing terms provided at the point of purchase.

Consumer cancellation rights. If you are a consumer in the UK or EU, you have a statutory right to cancel a purchase within 14 days of entering the contract (the "cooling-off period"). Where you ask us to begin providing a paid digital service during that period, you acknowledge your right to cancel may be lost once the service has been fully performed, and you agree to provision on that basis. Nothing in these Terms removes your non-waivable statutory rights.

Except where you exercise a statutory cancellation right, or where a refund is otherwise required by applicable law, fees are non-refundable. We reserve the right to change pricing with reasonable advance notice.

7. Limitation of Liability

To the maximum extent permitted by law:

• Edgewise provides the Service "as is" and "as available" without warranties of any kind
• Edgewise shall not be liable for any trading losses, lost profits, or consequential damages arising from use of the Service
• Edgewise does not guarantee uninterrupted or error-free operation of the Service

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any of your statutory rights as a consumer that cannot lawfully be excluded or limited.

8. Indemnification

If you use the Service in the course of a business, you agree to indemnify and hold harmless Edgewise Ltd., its affiliates, and its personnel from any claims, losses, or expenses arising from your use of the Service or violation of these Terms. This indemnity does not apply to consumers to the extent it would be unenforceable under applicable consumer-protection law.

9. Termination

We may suspend or terminate access to the Service where you breach these Terms, where required by law, or for legitimate operational reasons, giving you reasonable notice where practicable. You may stop using the Service at any time. Provisions that by their nature should survive termination (e.g. intellectual property, limitation of liability) will survive.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or through the Service with reasonable advance notice. Continued use after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

12. General

• Assignment. You may not assign your rights without our consent; we may assign ours in connection with a reorganisation or sale of the business.
• No waiver. Our failure to enforce a right is not a waiver of it.
• Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
• Sanctions & restricted territories. You may not use the Service if you are subject to applicable sanctions or located in a restricted territory.
